Terms and Conditions

These terms and conditions, together with any other user guides, on-line help, release notes and other relevant documentation issued by us from time to time (collectively “Conditions of Use”) set out the terms and conditions under which you (“You” or “User”) are entitled to use INSIGHT (Insight Client System). The use of INSIGHT by a User shall indicate the User’s acceptance of these Conditions of Use.
These Conditions of Use are in addition to, and do not replace or amend our agreement (the “Agreement”) with the client through whom you have obtained access to INSIGHT (“Client”), the terms of which shall remain in full force and effect.
Information about us
INSIGHT is an extranet operated by Accord Group (“We” or “Us”). We are registered in England and Wales under company number 3874258 with our registered office and trading address at The Grange, 100 High Street Southgate, London N14 6EQ. Our VAT number is 749 5704 92.

Access to INSIGHT

Access to the INSIGHT is subject to the allocation of a user name and password to Users who have been authorised by one of our Clients to use INSIGHT. You must be either an employee, agent or independent third party contractor of one of our Clients. The extent of your right to access INSIGHT is agreed between us and the Client responsible for your authorisation. By using INSIGHT you agree to comply with these Conditions of Use.
As a User you must treat any user name and/or password we provide to you as strictly confidential and you must not disclose such user name and/or password to any third party whether inside or outside the Client organisation which authorised your right to access INSIGHT.
We will not be liable for any loss or damage arising from access of INSIGHT by an unauthorised party or misuse of any user name and/or password allocated to a User unless this is caused by our negligence or wilful default.
The use of INSIGHT by any User must be via equipment or services which are compatible with INSIGHT and which are operated at the User’s cost. If any equipment or data or communication service is not compatible with INSIGHT, we shall not be liable for any resulting inability to use INSIGHT.
We expressly reserve the right to deny access to INSIGHT to any User on reasonable grounds and we may withdraw access from any User in the event that the Agreement is terminated or if the User is in breach of any of the provisions of these Conditions of Use or if the Client instructs us in writing to prevent any User’s access to INSIGHT.
We may from time to time decide that access to INSIGHT is subject to a fee payable by the Client authorising your access. We may withdraw access from any User if the Client fails to pay to us such fee when it falls due.
Once access has been withdrawn for any reason, you must immediately cease all access to and use of INSIGHT.

Availability of INSIGHT

As it is technically impossible to provide any IT system free of faults, bugs or errors, access to INSIGHT is provided on an “as is” and “as available” basis. We do not accept any liability for faults which may lead to the temporary unavailability of INSIGHT, whether this is within our reasonable control or not.
As a User you must ensure that you have effective systems in place to prevent uploading, emailing or otherwise transmitting to INSIGHT any data containing software viruses or any other computer code designed to interrupt, destroy or limit the functionality of any software or hardware or telecommunications equipment.

Reliance on information posted

Information posted on INSIGHT by us is not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such information by any User or anyone who may be informed of any of its contents.

Intellectual Property Rights

We are either the owner or authorised licensee or user of all the intellectual property rights in the materials published on INSIGHT. Those works are protected by copyright laws and treaties around the world. All our rights are reserved and Users may not transfer, sub-licence, rent, lease, network or grant any right or interest in any materials published on INSIGHT to any third party unless this is permitted under the commercial agreement between us and the Client authorising your access.
You agree to fully indemnify us in respect of any loss, damage, fine or expense suffered by us as a result of:
any unauthorised access to, or misuse of INSIGHT by you or by any third party if that use or misuse was enabled or permitted by you;
as a result of a breach by you of any provision of these Conditions of Use;
any infringement by you howsoever arising of our intellectual property rights in INSIGHT and/or any material and information published on it.

Limitation of liability

Our maximum aggregate liability under or in connection with these Conditions of Use whether in contract, tort (including negligence) or otherwise, shall in no circumstances exceed the amount of £1.
Nothing in these Conditions of Use shall exclude or in any way limit our liability for fraud, or for death and personal injury caused by our negligence, or any other liability to the extent the same may not be excluded or limited as a matter of law.
Subject to the above we shall not be liable under or in connection with these Conditions of Use for any loss of income or revenue, loss of business, loss of profits or contracts, loss of anticipated savings, loss of data, wasted management or back office time or for any indirect or consequential loss or damage of any kind howsoever arising and whether caused by tort (including negligence), breach of contract or otherwise.

Confidentiality

All information, artwork, reports, drawings, documents, and all other data which are published on INSIGHT from time to time are proprietary and confidential to us or our Clients.
You hereby agree and undertake to us that you will not use such confidential information for any purpose other than the purpose for which you have been authorised by our Client and that you will not disclose the confidential information to any third party without our or, as the case may be, our Client’s prior written consent.
You further agree and undertake that you will not yourself or through any subsidiary or agent use, sell, licence, sub-licence, create, develop or otherwise deal in any confidential information obtained while using INSIGHT.

Law and Jurisdiction

These Conditions of Use shall be governed by and construed in accordance with the laws of England and Wales and you hereby submit to the exclusive jurisdiction of the courts of England and Wales.
